Fees and Payment

Third-Party Software

We recommend and implement software developed by third parties. You are responsible for:

• Ongoing software costs after implementation

We are not responsible for software performance, availability, or changes made by software providers after implementation.

Intellectual Property

All content on this website, including text, graphics, logos, and images, is owned by Monteverio or licensed to us. You may not use our intellectual property without written permission.

Documentation, training materials, and configurations we create during implementation become your property upon final payment.

Confidentiality

We treat your business information as confidential. We will not disclose your information to third parties except:

You agree to keep confidential any proprietary methods or processes we share during implementation.

Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for software defects or failures

Nothing in these terms limits liability for fraud, gross negligence, or violations of consumer protection laws.

Warranties and Disclaimers

We provide services on an "as is" basis. While we strive for quality, we do not warrant:

• That software will be error-free or uninterrupted
• Specific business results or outcomes
• Compatibility with all future software updates

Termination

Either party may terminate the service agreement with written notice if:

• The other party materially breaches the agreement
• The other party becomes insolvent
• Circumstances make completion impossible

Upon termination, you pay for services completed to date. We provide any work product completed up to termination date.

Dispute Resolution

If disputes arise, we encourage resolution through good faith negotiation. If negotiation fails, disputes will be resolved through:

• Mediation before a mutually agreed mediator
• If mediation fails, arbitration or litigation in Tuxtla Gutiérrez, Chiapas

These terms are governed by Mexican law.
